Trubian Village Choctaw Tribal Trust Agreement


This Trust Indenture ("Agreement") is made this 3rd day of June, Two Thousand and Twenty Four, and serves as a Declaration of Trust and shall continue perpetually, between:

Article I: Establishment of Trust

 

1.1 Name of Trust:
The Trust shall be known as the "Trubian Village Choctaw Tribal Trust," hereinafter referred to as the "Trust."

1.2 Purpose of Trust:
The purpose of the Trust is to serve as the Cuthaugula Coahuila National Tribal Bank, to raise funds for tribal land acquisition and maintenance, and to support the cultural, social, and economic welfare of the Cuthaugula Coahuila Tribe.

1.3 Trust Property:
The Grantor hereby transfers and delivers to the Trust the property described in Schedule A attached hereto, and any additional property that may hereafter be transferred to the Trust.


Article II: Trustees

 

2.1 Board of Trustees:
The Trust shall be governed by a Board of Trustees, which shall consist of twenty-seven (27) members. The initial Board of Trustees is listed in Schedule B attached hereto.

2.2 Chairman of the Board of Trustees:
Minko Lusakio Yakaba shall serve as the Chairman of the Board of Trustees.

2.3 Powers and Duties of the Trustees:
The Trustees shall have the power to manage and control the Trust property, make investment decisions, and carry out the purposes of the Trust in accordance with the terms of this Trust Agreement. The Trustees shall establish policies and procedures, approve major financial decisions, ensure compliance with legal and regulatory requirements, oversee fundraising activities, and manage the Trust’s investments and assets.

2.4 Meetings and Voting:
The Board of Trustees shall meet quarterly and as needed to discuss and decide on key issues. Decisions shall be made by a majority vote, with each Trustee having one vote.

2.5 Committees:
The Trustees may form committees to focus on specific areas such as finance, land management, and community programs. Each committee shall report back to the Board of Trustees with recommendations.


Article III: Bloodline Truma's and Truba's

 

3.1 Bloodline Truma's:
The Trust shall include thirteen (13) Bloodline Truma's, who are responsible for cultural and ancestral guidance, ensuring that the Trust's activities align with tribal traditions and values.

3.2 Bloodline Truba's:
The Trust shall include fourteen (14) Bloodline Truba's, who focus on community engagement and welfare, promoting the well-being and development of tribal members.

3.3 Powers and Duties of Truma's and Truba's:
Truma's shall advise on cultural matters, participate in decision-making processes, and act as custodians of tribal history and knowledge. Truba's shall facilitate community programs, provide support and resources to tribal members, and help identify community needs and propose solutions.


Article IV: Financial Management

 

4.1 Fundraising and Financial Management:
The Trust shall develop and implement fundraising strategies, manage donations, grants, and other sources of income, and ensure transparent and efficient allocation of funds.

4.2 Land Acquisition and Maintenance:
The Trust shall identify and evaluate potential land acquisitions, negotiate and execute land purchases, and oversee the maintenance and development of tribal lands.

4.3 Accountability and Transparency:
Regular reports on financial status, land acquisitions, and community programs shall be provided to all members. An annual report shall be published and made available to the public. Independent audits shall be conducted annually to ensure financial integrity.


Article V: Trubian Village Tribal Land Investment Group

 

5.1 Establishment as a Subsidiary:
The Trubian Village Tribal Land Investment Group is established as a subsidiary of the Trubian Village Choctaw Tribal Trust.

5.2 Purpose of the Investment Group:
The purpose of the Trubian Village Tribal Land Investment Group is to leverage tribal land resources to generate revenue and provide financial benefits to its members.

5.3 Membership Requirements:
To become a member of the Trubian Village Tribal Land Investment Group, individuals must be Cuthaugula Coahuila Tribal Citizens and members of the Trubian Village Tribal Society.

 

5.4 Governance:
The Investment Group shall be operated and managed by the Board of Trustees of the Trust, with each participating family trust nominating a representative to the board of the Investment Group.

5.5 Business Objectives:

  • Revenue Generation: Develop and manage tribal land resources to maximize revenue and invest in sustainable and profitable land development projects.

  • Economic Empowerment: Provide financial returns to members through revenue sharing and foster economic growth within the tribal community.

  • Cultural Preservation: Ensure that all land investments respect and preserve tribal culture and heritage.

5.6 Operational Strategy:

  • Land Acquisition and Management: Identify and acquire strategic parcels of tribal land with high potential for development and revenue generation.

  • Investment and Development: Conduct feasibility studies, partner with reputable developers and investors, and execute projects.

  • Revenue Distribution: Establish a transparent and equitable system for distributing land revenue to members, and regularly report financial performance.

  • Compliance and Governance: Adhere to all tribal, local, state, and federal regulations, and maintain high standards of transparency, accountability, and ethical conduct.


Article VI: Succession Planning

 

6.1 Trustee Succession:
Trustees shall serve staggered terms of three (3) to seven (7) years to ensure continuity. A nomination and election process shall be in place for replacing outgoing Trustees.

6.2 Bloodline Truma's and Truba's Succession:
Succession of Bloodline Truma's and Truba's shall be based on family lineage and community consensus. Mentorship programs shall be established to prepare the next generation of leaders.


Article VII: Miscellaneous Provisions

 

7.1 Governing Law:
This Trust Agreement shall be governed by and construed in accordance with the laws of the Cuthaugula Coahuila Tribal Law.

7.2 Amendment of Trust Agreement:
This Trust Agreement may be amended by a two-thirds (2/3) majority vote of the Board of Trustees, provided that any amendment does not conflict with the purposes of the Trust.

7.3 Severability:
If any provision of this Trust Agreement is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
